Terms of Service

These terms are a legal agreement between you and Heldly, operated by [LEGAL ENTITY NAME], a company registered in England and Wales (company number [COMPANY NUMBER]) (“Heldly”, “we”, “us”). By creating an account or using our website or app (the “Service”) you agree to these terms. If you do not agree, please do not use the Service.

1. What Heldly is — and is not

Heldly is software for organising sports leagues and pools: it helps a commissioner set up a league, invite members, track who has paid their entry, record results and see standings.

On the free plan:

  • Heldly does not collect, hold, transfer or pay out any money. Members settle entries and prizes directly among themselves. Any amounts shown in the app are records you enter, not payments processed by Heldly.
  • Heldly is not a bank, payment institution, e-money issuer or money-services business, and does not provide any regulated payment or custody service.
  • Heldly is not a bookmaker, betting intermediary or gambling operator. It is an administration tool for competitions that you organise and run.
  • Heldly does not provide financial, investment, betting or legal advice. Any odds, probabilities or suggestions shown (including from the AI assistant) are for information and entertainment only.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using Heldly you confirm that you are.

3. Your account

You are responsible for the accuracy of the information you provide, for keeping your login secure, and for all activity under your account. Tell us promptly at hello@heldly.app if you suspect unauthorised use.

4. Your leagues are your responsibility

As a commissioner or member, you are responsible for the leagues, pools and competitions you run using Heldly, including collecting and distributing any money among your members and ensuring that what you run is lawful where you and your members are located. Money pools, prize competitions and sweepstakes can be regulated activities in some places; it is your responsibility to make sure your competition complies with local law. Heldly provides the tool, not the competition.

5. Acceptable use

You agree not to use the Service to: break any law; run anything you are not legally entitled to run; defraud, harass or harm others; upload unlawful, offensive or infringing content; attempt to gain unauthorised access to the Service or other users’ data; or interfere with the Service’s operation. We may suspend or remove accounts that breach these terms.

6. Paid features (coming soon)

Some features described on our site — including pots held at a partner bank — are not yet available and are offered subject to future regulatory approval. Nothing on the Service is an offer to provide those features today. When paid features launch, additional terms and pricing will apply and will be made available before you sign up.

7. Intellectual property

The Service, including its software, design and content, belongs to Heldly or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You keep ownership of the content you enter, and grant us the licence needed to host and display it to run the Service for you.

8. Third-party services

The Service may let you import data from, or link to, third-party services (for example Fantasy Premier League, Sleeper or Superbru). We are not affiliated with, endorsed by, or responsible for those services, and your use of them is governed by their own terms.

9. Availability and changes

The Service is provided on an “as is” and “as available” basis while it is in early release. We may change, suspend or discontinue features, and we may update these terms. For significant changes we will update the “Last updated” date and, where appropriate, notify you.

10. Liability

Nothing in these terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud). Subject to that, Heldly is not liable for the conduct of your league members, for any money handled directly between members, or for indirect or consequential loss, and our total liability to you is limited to the greater of the amount you paid us in the 12 months before the claim or £[LIABILITY CAP]. Because the free plan handles no money, disputes over entries and prizes are between you and your members.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these terms or if we stop offering the Service. Provisions that by their nature should survive termination will do so.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live.
